General Terms

1. Introduction

These Terms and Conditions of Business set out the agreement between Easy IT Limited trading as Limedata (“Limedata”, “we”, “us”, “our”) and the client (“you”, “your”) for the supply of web design, development, hosting, maintenance, and related digital services.

By commissioning or continuing to use our services, you agree to be bound by these terms.

2. Scope of Work

All work carried out by Limedata is defined in written proposals, quotations, or project briefs (“the Project Scope”). Any changes or additions requested after acceptance may incur additional costs and affect delivery timelines.

3. Payment Terms

  • All invoices are payable within 30 days of the invoice date unless otherwise stated.
  • Work may be paused or suspended for overdue accounts.
  • Hosting and domain renewals are invoiced automatically at renewal.
  • No late payment fees are charged; however, continued non-payment may result in service suspension or termination.

4. Ownership and Intellectual Property

  • Limedata retains ownership of all design, code, and content until payment is received in full.
  • Upon full payment, all rights in the final website design and content are transferred to you, except:
    • Proprietary software and systems such as MetrixCMS, and
    • Licensed third-party plugins, fonts, or libraries, which remain under their respective licences.
  • Limedata reserves the right to display completed projects in our portfolio or marketing materials.

5. Client Responsibilities

  • Provide accurate, timely feedback, information, and approvals to enable Limedata to deliver the project efficiently.
  • Ensure that all content (text, images, video, etc.) supplied to Limedata does not infringe copyright, data protection, or other applicable laws.
  • Maintain the security of login credentials and comply with GDPR obligations relating to data you collect via your website.

6. Project Acceptance

A project will be deemed complete when either: (a) you confirm acceptance in writing, or (b) 14 days have passed since delivery with no written request for amendments.


Web Hosting & Domain Name Terms

7. Hosting Services

  • Hosting services are billed annually in advance.
  • MetrixCMS hosting is billed monthly in advance.
  • Renewal invoices are issued automatically.
  • If you do not wish to renew hosting, you must provide one month’s written notice before the renewal date.
  • If no cancellation request is received, it will be assumed that hosting will continue under the same terms for the next period.

8. Data Backups

  • Daily backups are taken and retained for 30 days.
  • Backups are intended for disaster recovery only.
  • While Limedata takes reasonable measures to safeguard data, clients are strongly advised to maintain their own copies of all website files and databases.

9. Email Services

Email hosting is provided via Microsoft Office 365 under Microsoft’s standard terms and conditions. Limedata acts as a reseller only and is not responsible for outages, performance issues, or data loss within Office 365.

10. Domain Name Registration

  • Domains are registered using Fasthosts as registrar with the client listed as the legal registrant.
  • Renewals are automatic and invoiced annually.
  • Clients wishing to transfer domains to another registrar may do so at any time by contacting support@limedata.com with the new registrar details.
  • Limedata is not liable for loss of domain registration due to late or non-payment.

11. Suspension or Termination

Limedata reserves the right to suspend or terminate hosting without notice if payment is overdue, if the website is used for illegal, abusive, or malicious purposes, if activity threatens server performance or security, or if the service is misused or violates an acceptable use policy.


MetrixCMS Terms

12. Licensing

MetrixCMS is proprietary software owned by Limedata. Clients are granted a non-exclusive, non-transferable licence to use MetrixCMS while hosting remains active with Limedata. The licence is automatically revoked if hosting is terminated or transferred elsewhere.

13. Updates & Security

Limedata maintains and updates MetrixCMS to ensure stability and security. Updates may occasionally introduce visual or functional changes to improve performance or comply with browser standards.

14. Content & Data

Clients are responsible for the accuracy and legality of all content uploaded to their MetrixCMS website. Limedata is not liable for data loss arising from user error or unauthorised third-party access.


Service Level Agreement (SLA)

15. Uptime Guarantee

Limedata guarantees 99.9% network and server uptime, excluding scheduled or emergency maintenance.

Downtime is defined as the website being inaccessible due to a fault within Limedata’s network or servers.

Scheduled Maintenance means maintenance announced at least 5 days in advance. Emergency Maintenance means maintenance deemed necessary to prevent or resolve immediate threats to the network or client systems.

16. Support Hours

  • Support is available Monday to Friday, 9:00am–5:00pm, excluding UK bank holidays.
  • Emergency out-of-hours support: Call 01206 804758 or email support@limedata.com
  • All standard support requests are handled on a first-come, first-served basis.
  • We aim to acknowledge all support emails within 4 working hours.

17. Exclusions

The SLA does not cover downtime caused by client software, coding errors, or misconfiguration; third-party applications or integrations; force majeure events; denial-of-service or hacking incidents; external network or internet provider failures; or scheduled maintenance or upgrades.


Legal & Compliance

18. Liability

Limedata’s total liability under this agreement shall not exceed the total fees paid by the client in the 12 months preceding the event. Limedata is not liable for indirect, consequential, or financial losses including loss of data, revenue, or business opportunity.

19. Indemnity

The client agrees to indemnify and hold harmless Limedata from any claims, damages, or legal costs arising from content or materials supplied by the client, breach of law or intellectual property rights, or misuse of Limedata’s services.

20. Force Majeure

Limedata shall not be liable for any failure or delay due to circumstances beyond its reasonable control, including but not limited to fire, flood, natural disaster, war, acts of terrorism, labour disputes, or failure of suppliers.

21. Variation of Terms

Limedata may update or amend these Terms & Conditions from time to time. Clients will be notified of any significant changes prior to renewal of services.

22. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the English courts.
